Terms of Use
1. Acceptance of Terms
By accessing or using the HeyJeff platform ("Service"), the user ("Customer") represents that they have read, understood, and agreed to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are accepting these Terms on behalf of an organisation or company, you represent that you have the authority to bind that entity. If you do not agree with any provision contained herein, you must not use the Service. Continued use of the platform following the publication of any changes constitutes acceptance of those changes. 2. Description of Service
HeyJeff is an operational intelligence platform for restaurants, delivered as Software as a Service (SaaS). The Service includes inventory management, recipe costing, production control, waste management, and financial analysis features. HeyJeff reserves the right to modify, suspend, or discontinue any component of the Service, with or without notice, provided that commitments made under subscribed plans are honoured. 3. Account and Registration
To access the Service, the Customer must create an account through the registration form and provide truthful, accurate, and complete information. The Customer is responsible for maintaining the confidentiality of their access credentials and for all activities carried out under their account. In the event of unauthorised use, the Customer must immediately notify HeyJeff at security@heyjeff.com. HeyJeff is not liable for losses arising from unauthorised use of the account, unless such losses result from negligence attributable to HeyJeff. Account registration is permitted only to individuals aged 18 or over, or to legal representatives of legal entities. [LEGAL REVIEW REQUIRED]
4. Plans and Payment
The Service is offered on a paid subscription basis, with plans and pricing described on the pricing page at heyjeff.com. Amounts are presented in euros (€) and include applicable VAT. Payment is charged in advance at the start of each billing period (monthly or annual). In the event of non-payment, HeyJeff may suspend access to the Service following prior notice. The Customer may cancel their subscription at any time; cancellation takes effect at the end of the current billing period, and no pro-rata refund is due unless required by applicable law. 5. Acceptable Use
The Customer agrees to use the Service lawfully, ethically, and in compliance with these Terms. The following are expressly prohibited: (a) accessing or attempting to access other customers' systems, data, or accounts; (b) introducing viruses, malware, or any malicious code; (c) reverse engineering, decompiling, or otherwise attempting to obtain the platform's source code; (d) using the Service for illegal purposes or in violation of third-party rights; (e) overloading the infrastructure with unauthorised automated requests; (f) reselling, sublicensing, or transferring access to the Service to third parties without HeyJeff's written authorisation. Violation of these rules may result in immediate account suspension or termination. [LEGAL REVIEW REQUIRED]
6. Intellectual Property
The Service, including its code, interface, trademarks, logos, text, and documentation, is the exclusive property of HeyJeff or its licensors, and is protected by national and international intellectual property legislation. Nothing in these Terms transfers to the Customer any ownership rights over the Service. The Customer retains all rights to the data and content they enter into the platform ("Customer Data"). The Customer is granted a limited, non-exclusive, non-transferable, and revocable licence to use the Service solely for the Customer's legitimate business purposes, for the duration of the subscription. 7. Customer Data
The Customer is solely responsible for the lawfulness, accuracy, and quality of Customer Data entered into the platform. HeyJeff processes such data as a data processor, exclusively for the purpose of providing the Service, in accordance with the Privacy Policy and the Data Processing Agreement (DPA) available upon request. HeyJeff implements appropriate technical and organisational measures to protect Customer Data against unauthorised access, loss, or destruction. Upon termination of the contractual relationship, Customer Data will be returned to the Customer in exportable format or deleted, as instructed by the Customer, within a maximum period of 90 days. 8. Availability and SLA
HeyJeff endeavours to maintain a minimum Service availability of 99.5% per month, excluding scheduled maintenance windows and force majeure events. HeyJeff will notify the Customer at least 48 hours in advance of scheduled maintenance that may affect Service availability. In the event of unplanned downtime exceeding the agreed level, the Customer may be entitled to service credits, as described in the Service Level Agreement (SLA) available upon request. The Service includes offline capability that allows limited use in scenarios where connectivity is lost. [LEGAL REVIEW REQUIRED]
9. Limitation of Liability
To the maximum extent permitted by applicable law, HeyJeff shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of revenue, loss of data, or business interruption, even if HeyJeff has been advised of the possibility of such damages. HeyJeff's total cumulative liability to the Customer, regardless of the cause, shall not exceed the total amount paid by the Customer in the 12 months preceding the event giving rise to the liability. 10. Indemnification
The Customer agrees to defend, indemnify, and hold harmless HeyJeff, its directors, employees, partners, and agents against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) the Customer's breach of these Terms; (b) misuse of the Service; (c) infringement of third-party rights through Customer Data entered into the platform; (d) violation of any applicable law or regulation. HeyJeff will promptly notify the Customer of any claim that triggers indemnification obligations and will cooperate with the Customer in its defence. [LEGAL REVIEW REQUIRED]
11. Suspension and Termination
HeyJeff may suspend or terminate the Customer's access to the Service with immediate effect and without liability if the Customer: (a) breaches these Terms; (b) fails to make required payments following notification; (c) uses the Service fraudulently or in a manner that jeopardises the security of the platform or other users. The Customer may terminate these Terms at any time by cancelling their subscription. Upon termination, the right to access the Service ceases immediately and Customer Data will be handled as described in clause 7. Provisions that by their nature should survive termination shall remain in effect. [LEGAL REVIEW REQUIRED]
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with Portuguese law, without regard to its conflict of law provisions. Any dispute arising from the interpretation, validity, or performance of these Terms that is not resolved amicably within 30 days of written notification shall be submitted to the exclusive jurisdiction of the Courts of the District of Lisbon, unless mandatory legal provisions require otherwise. The Customer acknowledges that HeyJeff may additionally bring actions for interim relief or intellectual property protection in any jurisdiction. [LEGAL REVIEW REQUIRED]
13. Changes to Terms
HeyJeff reserves the right to modify these Terms at any time. Any material changes will be communicated to the Customer at least 30 days in advance, by email to the address associated with the account or through a prominent notice on the platform. If the Customer does not agree with the proposed changes, they may cancel their subscription before the effective date of such changes. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. For non-material changes (such as grammatical corrections or clarifications), HeyJeff may update the Terms without prior notice. [LEGAL REVIEW REQUIRED]
